General Terms and Conditions for Services Provided by Lisa Schmerold

These Terms and Conditions ("Agreement") govern the services provided by Lisa Schmerold ("we," "us," or "our") to the client ("you" or "your"). By engaging our services, you agree to be bound by the following terms and conditions. Please read them carefully.

1. Definitions

  • "Services" refers to web design, branding, photography, and other related services provided by us.

  • "Client" refers to the individual or organization requesting services from us.

2. Scope of Services

We agree to provide the following services to the Client, as detailed in the individual project proposal or contract:

  • Web design and development

  • Branding and logo design

  • Photography services

  • Video creation or other related services

The specific scope, deliverables, timelines, and fees for each project will be outlined in a separate project agreement.

3. Project Timeline and Deadlines

We will make every reasonable effort to meet agreed-upon deadlines for the delivery of services. However, we are not liable for delays caused by unforeseen circumstances, including but not limited to delays in client feedback, approval, or the availability of necessary resources.

If additional time or revisions are required due to delays caused by the Client, extra charges may apply.

4. Pricing and Payment Terms

The pricing for our services will be outlined in the project proposal or contract and may include:

  • An upfront deposit (typically 30-50%) due upon signing of the contract.

  • The remaining balance due upon delivery of the final work.

  • Additional charges for revisions or extra work requested by the Client.

Payment must be made according to the terms specified. If the Client fails to pay on time, we reserve the right to suspend work or terminate the agreement.

5. Revisions and Approvals

  • The Client is entitled to a specified number of revisions, as outlined in the proposal or contract.

  • Revisions beyond the agreed number may incur additional charges.

  • The Client must approve work before progressing to the next phase. Once approved, changes may incur additional fees.

6. Intellectual Property Rights

  • Ownership: Upon full payment, the Client will own the final deliverables. However, we retain ownership of any underlying intellectual property, including but not limited to design files, code, and templates.

  • Licensing: If third-party assets are used (e.g. fonts, stock photos), the Client is responsible for ensuring proper licensing unless otherwise agreed.

  • Right to Showcase Work: We retain the right to display completed projects in our portfolio, marketing materials, or website, unless agreed otherwise in writing.

7. Confidentiality

Both parties agree to keep all proprietary or confidential information confidential and not disclose it to third parties, except as required by law.

8. Client's Responsibility

The Client agrees to:

  • Provide all necessary content (e.g., text, images, assets) required for the project.

  • Ensure they have the legal rights to all content submitted to us.

  • Deliver timely feedback and approvals.

  • We are not responsible for any legal issues or project delays arising from content provided by the Client.

9. Liability

  • We are not liable for any indirect, incidental, or consequential damages from the use or inability to use the deliverables.

  • The Client agrees to indemnify and hold us harmless from any claims, including those related to third-party rights in provided content.

10. Force Majeure

Neither party will be held liable for failure to perform due to circumstances beyond reasonable control, including but not limited to acts of God, war, strikes, or technical failures.

11. Termination

Either party may terminate the agreement with written notice. In such cases:

  • The Client will pay for all work completed up to the termination date.

  • Deposits are non-refundable if the Client terminates the project.

  • If we terminate the project, the Client may receive a partial refund for undelivered services.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of Austria. Any disputes shall be resolved through negotiation and, if necessary, binding arbitration under Austrian law.

13. Privacy and Data Protection

We collect and process personal data in accordance with our [Privacy Policy], which forms an integral part of this Agreement.

14. Amendments

We reserve the right to update these Terms and Conditions at any time. Updated versions will be published on our website with a revised date.
